Terms of Service for ASC Pilot

§ 1. General Provisions
These Terms of Service (hereinafter: "Terms") govern the access to and use of the ASC Pilot platform (hereinafter: "Platform" or "Service"), available at the domains specified by the Service Provider.

By registering an Account and using the Platform, the User agrees to be bound by these Terms and the associated Privacy Policy.
§ 2. Definitions
Platform (Service) – the ASC Pilot software provided in a SaaS (Software as a Service) model, designed for operational management of App Store Connect data.
User – any natural person, legal entity, or organizational unit without legal personality that registers an Account on the Platform.
Consumer – any natural person using the Platform for purposes which are outside their trade, business, craft, or profession, as defined by EU consumer protection laws.
Account – the User's individual profile on the Platform, authenticated via a third-party identity provider (Supabase) and secured by an e-mail and password.
API Key (.p8) – an authentication file and associated identifiers (Key ID, Issuer ID) generated by the User in the Apple App Store Connect panel and provided to the Platform to enable data synchronization.
Payment Operator (Merchant of Record) – an authorized third-party entity (Lemon Squeezy) responsible for processing payments, invoicing, and acting as the official reseller of the paid Plans.
§ 3. Scope of Services
ASC Pilot operates as an integrated operational panel for the App Store Connect ecosystem, utilizing the official API provided by Apple Inc.
The core functionalities of the Platform include, but are not limited to:
- Bulk editing of In-App Purchases (IAP) and subscription pricing (including price tiers, Apple Smart Sync/equalization, and Purchasing Power Parity – PPP).
- Bulk management of App Store Optimization (ASO) metadata and translations across multiple languages.
- Mass deployment of changes directly to App Store Connect accounts without manual context switching in the Apple panel.
The Service is offered in the following tiers ("Plans"):
- Free Plan – with limited features or operational quotas.
- Monthly / Annual Subscription – periodically recurring paid plans.
- Lifetime Plan – a one-time payment plan granting access to the Service for the duration of the Service Provider's commercial offering of the Platform.
§ 4. Technical and Operational Requirements
End-User Requirements: The web-based Platform requires a modern web browser with enabled cookies and JavaScript, and an active internet connection. No dedicated client-side software or plugins are required.
Self-Hosted Version: If the User opts for a self-hosted deployment, the User is solely responsible for configuring, maintaining, and funding their own infrastructure (including Node.js, Supabase instances, database migrations, cron jobs, and secure storage of encryption keys such as APPLE_P8_ENCRYPTION_SECRET).
Apple Operational Requirements: To utilize the Platform, the User must have active access to an Apple Developer Program account (individual or organizational) or be invited to a team with sufficient permissions to generate API Keys (e.g., Admin or App Manager roles). A basic, free Apple ID without an active developer membership is insufficient.
Security Declaration: The Platform's integration relies exclusively on official API authentication (Key .p8, Key ID, Issuer ID). The Service Provider never requests, collects, or stores the User's Apple ID passwords.
§ 5. Registration, Agreement, and Payments
The agreement for the provision of the Free Plan is concluded upon successful Account registration.
Access to Paid Plans (Monthly, Annual, Lifetime) is processed through the Payment Operator (Lemon Squeezy). The Payment Operator acts as the Merchant of Record, meaning all financial transactions, billing, and invoicing are handled directly by them, subject to their respective terms and conditions.
Auto-Renewal: Periodic subscriptions (Monthly/Annual) automatically renew for successive billing cycles unless canceled by the User prior to the end of the current billing period.
Cancellation: Users may cancel their subscription at any time. Upon cancellation, the User retains access to the paid features until the end of the current, already paid billing cycle. No partial refunds are provided for unused time.
§ 6. Right of Withdrawal (EU Consumers)
In accordance with the EU Consumer Rights Directive, a User acting as a Consumer generally has the right to withdraw from a digital service contract within 14 days of its conclusion, without providing any reason.
Waiver of the Right of Withdrawal: By purchasing a paid Plan and accessing the digital content and services of ASC Pilot immediately, the Consumer expressly consents to the immediate commencement of the contract performance before the 14-day withdrawal period expires and acknowledges that by doing so, they lose their right of withdrawal.
This waiver mechanism ensures instant access to the Service upon payment.
§ 7. Intellectual Property and License
All intellectual property rights to the ASC Pilot Platform, including source code, UI/UX design, logos, and architecture, belong exclusively to the Service Provider.
The Service Provider grants the User a non-exclusive, non-transferable, and non-sublicensable right to access and use the Platform for its intended operational purposes for the duration of the agreement.
The User is strictly prohibited from reverse-engineering, decompiling, copying, or distributing any part of the Platform without explicit written consent.
§ 8. Limitation of Liability and SLA (Business-to-Business)
"As-Is" Provision: The Platform is provided on an "as is" and "as available" basis. The Service Provider disclaims all warranties, express or implied, including fitness for a particular purpose. No specific Service Level Agreement (SLA) or uptime is guaranteed.
Exclusion of Liability (B2B): For Users who are not Consumers (B2B transactions), the Service Provider shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits (lucrum cessans), loss of data, or business interruption.
Operational Risks: The User is solely responsible for verifying the accuracy of any data, pricing, or metadata before initiating a bulk deployment to App Store Connect. The Service Provider is not liable for data overwrites, pricing errors, app rejections by Apple, or actions taken by Apple Inc. (e.g., account suspension or API specification changes).
Liability Cap: To the maximum extent permitted by applicable law, the Service Provider's total aggregate liability arising out of or related to the use of the Service by a B2B User shall not exceed the total amount paid by the User for the Service in the 3 (three) months immediately preceding the event giving rise to the claim.
§ 9. Complaints and Dispute Resolution
Users may submit complaints regarding the Service via e-mail to: apps@inspicon.com.
Complaints should include the Account e-mail, a description of the issue, and the date of occurrence. The Service Provider will respond to complaints within 14 days of receipt.
EU Online Dispute Resolution (ODR): Consumers residing in the EU have the right to use extrajudicial means of dispute resolution. The European Commission provides an ODR platform available at: http://ec.europa.eu/consumers/odr.
§ 10. Final Provisions
Governing Law: These Terms and any agreements concluded hereunder shall be governed by and construed in accordance with the laws of the Republic of Poland. For EU Consumers, this choice of law does not deprive them of the protection afforded by mandatory provisions of the law of their country of habitual residence.
Jurisdiction: Any disputes arising between the Service Provider and a User who is not a Consumer (B2B) shall be subject to the exclusive jurisdiction of the competent courts in Wrocław, Poland.
Amendments: The Service Provider reserves the right to modify these Terms. Users will be notified of any material changes via e-mail at least 14 days before the new Terms take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.
